( 1)  This is to report the pledge of 8,431,065 common shares owned by Credifinance Capital Corp to a corporate lender to secure indebtedness. This is reported on advice of counsel because the pledge of shares grants dispositive power to the lender, who may dispose of shares without further consent of owner in the event of default on the underlying indebtedness
( 2)  This is to report the pledge of 8,431,065 common shares and 473,674 convertible preferred shares owned by Credifinance Capital Corp to a corporate lender to secure indebtedness. Georges Benarroch, President and Director of the issuer, is an officer and director of Credifinance Capital Corp and responsible for day to day operations. He disclaims beneficial ownership in securities held by Credifinance Capital Corp.
