Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On March 10, 2017, the Company entered into a loan transaction in the amount of $100,000 with Aaron Nemec, an unrelated party. The transaction involved the issuance of a short term Promissory Note due May 19, 2017, secured by accounts receivable, and bearing 25% interest at an annualized rate.
