Explanation of Responses:
( 1)  On March 16, 2016, RenovaCare, Inc. (the "Company") issued Dr. Kirkland a stock option to purchase up to 50,000 shares of the Company's common stock at an exercise price of $1.91 per share, all of which vested on the date of grant.
( 2)  The closing price of the Company's common stock as quoted on the OTC Markets Group Inc. QB tier on March 15, 2016. The options may be exercised on a "cashless basis" using the formula contained in the nonstatutory stock option agreement entered into between Dr. Kirkland and the Company.
