Unregistered Sales of Equity Securities

EMA Financial, LLC (April 3, 2017 Note)
On November 8, 2017, Tiger Reef, Inc.’s (“
Tiger Reef
”) transfer agent received a Notice of Conversion #5 in the amount of $230.00 in principal and $750.00 in legal fees and subsequently issued 2,450,000 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.001 a share pursuant to the EMA Financial convertible note described in detail the Form 8-K filed with the SEC on April 7, 2017. After this conversion this convertible note had a remaining principal balance of $35,680.00.
Crown Bridge Partners, LLC (April 3, 2017 Note)
On November 8, 2017, Tiger Reef’s transfer agent received a Notice of Conversion #8 in the amount of $696.80 in principal and $250.00 in legal fees and subsequently issued 2,367,000 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.0004 a share pursuant to the Crown Bridge Partners convertible note described in detail the Form 8-K filed with the SEC on April 7, 2017. After this conversion this convertible note had a remaining principal balance of $23,075.00.
On November 9, 2017, Tiger Reef’s transfer agent received a Notice of Conversion #9 in the amount of $784.00 in principal and $250.00 in legal fees and subsequently issued 2,585,000 shares of its common stock, $0.001 par value, at an applicable conversion rate of $0.0004 a share pursuant to the Crown Bridge Partners convertible note described in detail the Form 8-K filed with the SEC on April 7, 2017. After this conversion this convertible note had a remaining principal balance of $22,291.00.
After these conversions, Tiger Reef had 58,981,415 shares of its common stock issued and outstanding.
