Item 8.01        Other Events

On August 15, 2013, Rango Energy Inc. (the "Company") issued a news release announcing that it has entered into a non-binding letter of intent ("LOI") to acquire Hangtown Energy, Inc. ("Hangtown"). The acquisition includes all subsidiaries, equity interests, joint ventures and affiliated interests to which Hangtown is a party, including existing well bores and field operations.

A copy of the press release is attached hereto as Exhibit 99.1.
