Directors' share interests
Long term share incentive scheme
The Mayflower Corporation plc (the "Company") advises that on 2 April 2003 the
following awards of ordinary shares of 5p each in the capital of the Company ("
Shares") were made to Directors of the Company under its long term share
incentive scheme ("the Scheme"):
John Simpson 1,849,795 Shares
David Donnelly 1,304,910 Shares
John Fleming 1,104,144 Shares
Terry Whitmore 1,104,144 Shares
The awards are subject to the satisfaction of performance criteria laid down in
the rules of the Scheme and the percentage of Shares awarded which will be
released to the Directors' at the end of the performance period is dependent
upon the total shareholder return on the Company's Shares compared to total
shareholder return by reference to the FTSE All Share Total Return Index as
follows:

The performance period ends on the third anniversary of the date of an award.
Where the maximum target level has not been achieved by this date the
Remuneration Committee may, in its absolute discretion, extend the performance
period by one year to the fourth anniversary of the date of an award.
If a Director retains the Shares which vest for two years, he will receive one
bonus Share for every two vested Shares .
The performance conditions attached to the following awards of Shares made to
Directors in on 1 March 1999 have not been satisfied and the awards have lapsed
with effect from 1 March 2003:
John Simpson 227,153 Shares
David Donnelly 161,477 Shares
John Fleming 136,604 Shares
Terry Whitmore 136,604 Shares
The performance conditions attached to the awards of Share made to Directors on
1 March 2000 were not satisfied at the end of the initial performance period
under the Scheme, however, the Remuneration Committee has exercised its
discretion to extend the performance period for an further year ending on 1
March 2004.
