Item 8.01 Other Events.

On January 25, 2024, BK Technologies Corporation (the “Company”) redeemed its Series B common membership interests (the “Interests”) of FG Financial Holdings, LLC (“FGFH”) and withdrew from FGFH. In exchange for its Interests, the Company received 52,000 shares of the Company’s common stock, with an approximate value of $650,000. The shares received by the Company will be held as treasury stock, increasing the total number of treasury shares held by the Company to 342,800. The Company completed the transaction with the intent of simplifying the Company’s balance sheet, shed non-core investments and obtain more ownership of the Company’s shares.
