On February 28, 2013, the Company approved compensation with respect to its Board of Directors for the period from March 2013 through May 2013. This compensation includes a stock award for the retainer for the reporting person's service on the Board of Directors, based on the market value of the Company's common stock at the close of business on March 1, 2013. The stock award is being made under the Company's 2009 Stock Incentive Plan.
