On 1 August 2003, Regent Capital Trust Corporation Limited, the Trustee of the
Fuller, Smith & Turner Employee Share Trust 1998 (the "Trust") purchased 24,012
'A' ordinary shares in Fuller, Smith & Turner P.L.C. at a price of 565p each.
The Trust is a discretionary Trust for the benefit of such employees (including
the Directors) of Fuller, Smith & Turner P.L.C. as the Trustee may decide to
benefit.
