Acquisition of Cosme Science
Corporation
Silverwood Brands plc (Aquis: SLWD), a holding
company established to invest primarily in branded consumer
businesses, is pleased to announce that,
further to the announcement of 1 March 2024, the Company's
acquisition of Cosme Science Corporation ("Cosme Science"), a
premier Japanese manufacturer of beauty products, and its 100%
subsidiary, Dr. Baeltz, a pioneering skincare and self-care brand,
successfully closed on 29 March 2024 (the
"Acquisition").
In the financial year ended 31 March
2023, Cosme Science and Dr. Baeltz reported EBITDA
of ¥123 million (approximately £0.65
million) on combined sales of
¥1,608 million (approximately £8.4
million).
As consideration for the Acquisition, Sonotas
Corporation, Silverwood's Japanese subsidiary, is paying
¥1 (£ nominal) for the purchase of 100% of the
shares of Cosme Science and Dr. Baeltz, and
¥1,000 million (approximately £5.3 million) to
acquire the outstanding debt between Cosme Science and its former
owner, Hokkan Holdings. The costs of the Acquisition are
being funded via debt finance in Japan.
