                                (the "Stock")

The Company despatched a Circular dated 20 December 2000 to holders of the
Stock (the "Stockholders") containing a notice convening a meeting of
Stockholders to consider and, if thought fit, to approve proposals for the
substitution of Compass Group PLC for the Company as principal obligor under
the Stock and certain amendments to the trust deed (as amended) constituting
the Stock (the "Proposals").

The meeting is to be held at the offices of Freshfields Bruckhaus Deringer, 65
Fleet Street, London EC4Y 1HS on 12 January 2001 commencing at 11:00 am (the
"Meeting"). Implementation of the Proposals requires the approval of an
extraordinary resolution of holders of the Stock at the Meeting.
