We hereby notify you that the Company's Annual General Shareholders' Meeting
will be held on May 17, 1999 in Taipei.  Pursuant to 6 (A) (i) (a) of the Terms
and Conditions of the Offering Circular, the Conversion Right of the Bonds will
be suspended for one month prior to and including the Date of Annual General
Shareholders' Meeting.  The suspended period runs from April 18 to May 17, 1999.
