Issue of Shares and Cancellation of Options

As disclosed in an announcement made to the Australian Stock Exchange (ASX) and
AIM market on 24 April 2006 and as set out in its Target's Statement dated 12
September 2006, Aztec is party to a Co-existence Deed with the Dambimangari
People dated 10 April 2006.

In accordance with the terms of this Deed, Aztec is obliged to issue 10,000,000
fully paid ordinary shares to a trust formed by the Dambimangari people for no
cash consideration. As this trust has now been formed, on 3 November 2006 Aztec
issued 10,000,000 fully paid ordinary shares to the trustee of the Dambimangari
people's trust.

The shares have been issued without disclosure under Part 6D.2 of the
Corporations Act 2001 (Cth) ("Act"), and Aztec gives this notice under section
708A (5)(e) of the Act.

Aztec confirms in relation to the issue of those shares that, as at the date of
this notice:

(a) Aztec has complied with the provisions of Chapter 2M of the Act as they
    apply to Aztec.

(b) Aztec has complied with section 674 of the Act.

(c) There is no excluded information within the meaning of sections 708A (7) and
    (8) of the Act.

On 3 November 2006 the Company also issued 166,666 Ordinary Shares following
exercise of options at $0.20 per share.

The issued share capital of the Company is now 1,131,296,221 Ordinary Shares.
Application for the admission of the new Ordinary Shares to AIM has been made
and admission is expected to occur on 10 November 2006.

On 3 November 2006 the Company cancelled 350,000 unlisted Employee Options.
