Tilbury Douglas announces that it will today post the
offer document in connection with its recommended offer
for Bandt (the "Offer").  The first closing date of the
Offer will be 9 August 1999.  Bandt shareholders will
also receive listing particulars relating to the issue of
new Tilbury Douglas shares in connection with the Offer.

In addition Tilbury Douglas will today post to its
shareholders a circular containing notice of an
Extraordinary General Meeting to be held on 4 August 1999
to seek approval for the acquisition of Bandt.  The
deadline for receipt of proxies will be 10.00 am on 2
August 1999.
