          CML Microsystems Plc ("the Company")
          Substantial Shareholder Notification

The  Company  was notified on 2 February  1999  by  Robert
Fleming   Holdings  Limited  on  behalf  of  The   Fleming
Mercantile Investment Trust PLC ("the Trust") that due  to
a  decrease in the Company's issued ordinary share capital
on  29  January  1999  the Trust's  holding  of  1,500,000
ordinary 5p shares of the Company ("Ordinary Shares")  now
represents  10.78  per  cent.  of  the  Company's   issued
ordinary share capital. This change is not a result of  an
acquisition or disposal of Ordinary Shares by the Trust.

The  Ordinary Shares are registered in the name of  Robert
Fleming Nominees Limited.
