          CML Microsystems Plc ("the Company")
          Substantial Shareholder Notification

The  Company  was notified on 5 August 1999 that  the  Co-
operative Insurance Society Limited sold 539,706  ordinary
5p shares of the Company ("Ordinary Shares"), representing
3.88 per cent. of the Company's issued share capital on  4
August  1999.  Following  this disposal  the  Co-operative
Insurance Society Limited no longer has an interest in the
issued share capital of the Company.
