PDMR/PCA Dealing, Exercise of Options and Total Voting Rights

Hargreaves Services plc (AIM: HSP), a diversified group delivering services to the industrial and property sectors, announces that on 19 September 2024, Stephen Craigen (a PDMR) transferred 5,203 ordinary shares in the capital of the Company (Ordinary Shares) to his wife, Rebecca Craigen, at nil consideration per share. Following this transaction, Mr Craigen's aggregate beneficial holding, including his connected persons' interests, is unchanged at 20,715 Ordinary Shares representing 0.06% of the total issued share capital.

On 18 September 2024, Gordon Banham exercised options over 28,301 Ordinary Shares at an exercise price of ten pence per share. The options were granted under the Company's Executive Share Option Scheme 2021. Following the exercise, Mr Banham intends to transfer 28,301 Ordinary Shares in the Company to GB Holdings (2021) Limited, a company wholly owned by him, at nil consideration per Ordinary Share. The option exercise by Mr Banham was satisfied by a transfer of shares from treasury.

Following the above exercise and transfer, Mr Banham's beneficial shareholding is 2,788,211 Ordinary Shares, representing 8.46% of the total issued share capital.

Furthermore, on 18 September 2024, 18,867 Ordinary Shares were transferred from treasury to satisfy the exercise of options by another employee at an exercise price of 10 pence per Ordinary Share. The options were granted under the Company's Executive Share Option Scheme 2021

Total Voting Rights

Following the above transfers, 176,981 Ordinary Shares remain in treasury and the total number of voting rights in the Company are 32,961,775. This latter figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
