On 28 September 2023, 3i Group plc (the "Company") was notified that on 27 September 2023 the following transactions took place:

1. Ms Jasi Halai, a Director and person discharging managerial responsibilities, purchased 878 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.31 per share; and

2. Ms Jasi Halai, a Director and person discharging managerial responsibilities, purchased 1,147 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.32 per share.

On 28 September 2023, 3i Group plc (the "Company") was notified that on 27 September 2023 as part of a "Bed and ISA" transaction the following transactions took place:

3. Yahvi Halai being a person closely associated with Ms Jasi Halai, a Director and person discharging managerial responsibilities ("PDMR") of 3i Group plc, purchased 440 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.31 per share.

4. Neev Halai being a person closely associated with Ms Jasi Halai, a Director and person discharging managerial responsibilities ("PDMR") of 3i Group plc , purchased 440 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.32 per share.

5. Kush Halai being a person closely associated with Ms Jasi Halai, a Director and person discharging managerial responsibilities ("PDMR") of 3i Group plc, purchased 440 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.31 per share.

6. Ms Jasi Halai, a Director and person discharging managerial responsibilities ("PDMR") of 3i Group plc, sold 1,332 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company at a price of GBP20.31 per share.
