                                ISSUE OF EQUITY



The company has issued and allotted, subject to admission, 4,000 new ordinary
30p shares under the Approved Executive Share Option Scheme.  The consideration
for the shares is as follows:

The new ordinary shares will rank pari passu with the existing ordinary shares
of the Company.  Trading is expected to commence on AIM on 9 June 2003.
