RECOMMENDED CASH OFFER

Croda Europe Limited

to be effected by means of a Scheme of Arrangement under

Part 26 of the Companies Act 2006

Court Sanction of Scheme of Arrangement and Suspension of trading on AIM

Plant Impact plc ("Plant Impact" or the "Company") is pleased to announce that the Scheme was sanctioned by the Court earlier today. It is expected that the Scheme will become effective on 28 March 2018.

Dealings in Plant Impact Ordinary Shares will be suspended from trading on AIM with effect from 7.30 a.m. on 28 March 2018. Subject to the Scheme becoming effective, it is expected that the admission of Plant Impact Ordinary Shares to trading on AIM will be cancelled by no later than 7.00 a.m. on 29 March 2018.

Defined terms used but not defined in this announcement have the meaning given to them in the scheme circular to Plant Impact Shareholders dated 26 February 2018.
