RMR plc (the "Company")


Further to the announcement dated 1 November 2002, the Company announces that it
has made an application for the admission to trading on the Alternative
Investment Market of the London Stock Exchange of 1,000,000 new ordinary shares
of 10p nominal value to be issued to Messer's Jones and Thomas in final
settlement of the vendor consideration for Learning Angles Limited.


These shares should be admitted to the Official List on 28 November 2002.  The
total number of ordinary shares of 10p following this issue as at 28 November
2002 will be 62,102,847.
