("Boxhill", the "Group" or the "Company")

AGM Statement

Boxhill Technologies Plc (AIM:BOX), the AIM quoted lottery, software, gaming and leisure company, held its annual general meeting ("AGM") today.

The Company is not yet in a position to post its audited annual report and accounts to shareholders. As a result resolution 1 to receive the report of the Directors and the statement of accounts and the balance sheet of the Company for the period ended 31 July 2015 with the auditors' report thereon was adjourned at the AGM. The Company will send a further notice of AGM to shareholders when the AGM will be reconvened once the position relating to the annual report and accounts has been clarified.

All other resolutions were duly passed.

Further to the announcement made on 11 January 2016 the Company's shares remain suspended from trading on AIM, pending announcement of the Company's audited accounts for the year ended 31 July 2015.

Lord Razzall, Non-Executive Chairman, commented, "The board regrets that we were unable to put the annual report and accounts before shareholders at the meeting. The Company is working hard with its auditors and other advisers to address the situation and hopes to make an announcement shortly."
