TNT TRACO ACQUIRES 100% OF THE RINALDI GROUP

TNT Traco Spa, a 100% owned subsidiary of the TNT Post Group (TPG) NV, has
acquired 100% of the shares in the Italian-based Rinaldi Group.  This group
provides addressed mail-distribution services to e.g. financial institutions,
utilities and other institutions in Milan and the vicinity.

Furthermore the Rinaldi Group has participations in private mail-distribution
companies in Turin, Padova and Bergamo, providing coverage in the fastest
growing economic region of Italy.  The Group is the largest private postal
operator in Italy, representing an annual turnover of approximately NLG 50
million.  With this take-over TNT Traco has gained an attractive market position
within the group of private postal operators in the Italian domestic market.

Moreover, this acquisition enables TNT Post Group to control the quality and
optimise the efficiency of the delivery of international cross-border mail flows
to the covered Italian destinations.

The closing of the transaction is subject to regulatory approval.
