Explanation of Responses:

( 1)

Represents an October 28, 2010 award of restricted stock. The award was made to Mr. Rosenbaum under the terms of his December 18, 2009 Second Amended and Restated Employment Agreement. The restricted stock vests in equal installments on each of the first five anniversaries of the October 28, 2010 award date, but becomes fully vested if a change in control first occurs. The purpose of this Form 3 amendment is to properly reflect in Table I the restricted stock award as an award of common stock, a non-derivative security beneficially owned by the Reporting Person, rather than an award of a derivative security reflected in Table II. The original Form 3 filed by the Reporting Person on November 8, 2010 reflected the restricted stock award in Table II.
