combination between Colombier and PSQ Holdings, Inc., expects to use in communications to public stockholders and third parties.

proposed Business Combination (the “Business Combination”) between Colombier Acquisition Corp. (NYSE: CLBR) (“Colombier”),
a public company with shares currently trading on the New York Stock Exchange under the symbol “CLBR,” and PSQ Holdings, Inc.
(doing business as “PublicSq.”).
Under the terms of the proposed transaction, a wholly owned subsidiary
of Colombier will merge with PublicSq., with PublicSq. surviving the merger as a wholly owned subsidiary of Colombier. In connection with
the merger, PublicSq. will change its name to PublicSq. Inc. and Colombier will change its name to PSQ Holdings, Inc. (“PSQH”),
as the go-forward public company. Immediately after the combination is completed, the stockholders of PSQH will include Colombier stockholders
who do not redeem public shares and former holders of PublicSq. securities who invested in PublicSq., the private company, prior to the
combination. The closing of the proposed transaction is subject to approval by Colombier’s stockholders of record at Colombier’s
Special Meeting of Stockholders (the “Special Meeting”).
