Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 26, 2023, Abby M. Wenzel, a member of the board of directors of Global Net Lease, Inc. (the “Company”) notified the Company of her resignation, due to personal reasons, both as a director of the Company and as a member of the board’s compensation committee, effective December 28, 2023. Ms. Wenzel advised the Company that her resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
