Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2023, Meredith W. Mendes resigned as a member of the Board of Directors (the “Board”) of Quanex Building Products Corporation (the “Company”). Ms. Mendes’ resignation from the Board was not related to any disagreement on any matter related to the Company’s operations, policies, or practices.
