Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 10, 2008, the Tennessee Valley Authority (“TVA”) filed a Current Report on Form 8-K reporting that Bishop William Graves had been confirmed as a director of the TVA Board of Directors (the “Board”) on June 4, 2008. TVA hereby makes this Amendment No. 1 to its Current Report on Form 8-K to report that at the Board’s August 20, 2008 public meeting, the Board appointed Bishop Graves to a position on the Community Relations and Energy Efficiency Committee.
