Item 8.01 Other Events.

On September 9, 2024, WEX Inc. (the “Company”) issued a press release announcing that the Company’s Board of Directors has authorized an amended share repurchase program under which up to an additional $1.0 billion of the Company’s common stock may be repurchased, expanding the total authorization to $2.05 billion through December 31, 2025.
