TERREBONNE, QC, May 8, 2015 /CNW Telbec/ - ADF GROUP INC.
("ADF" or the "Corporation") (TSX: DRX) leader in the fabrication
of steel superstructures, announces today that two of its Board
members, Mr. Marc A. Benoît and Mr.
Marc Filion, will not stand for
re-election to the Corporation's Board of Directors at the
Shareholders meeting next June, and they have tendered their
resignation as members of the Board of Directors effective
May 1st 2015, after
serving on the Corporation's Board for several years.

Paschini, Co-Chairman of the Board and Chief Executive
Officer, wishes to thank Mr. Benoît and Mr. Filion for their
implication and the excellent work they have accomplished during
the past decade.
Also, ADF Group Inc. is pleased to announce the appointment of
Ms. Michèle Desjardins and Mr. Frank
Di Tomaso, as independent members of the Corporation's
Board of Directors, effective May
1st, 2015.
In addition to her appointment to the Corporation's Board of
Directors, Ms Michèle Desjardins is also appointed the Chair of the
Compensation, Nominating and Corporate Governance Committee,
effective May 1st, 2015.
Ms. Desjardins is a Senior Associate at Lansberg Gersick &
Associates LLC and is the president and founder of Koby Consulting,
a family business management consulting services firm. Ms.
Desjardins has a Bachelor of Applied Science and a Master of
Business Administration from the Laval
University. She is a member of the Ordre des administrateurs
agréés du Québec, and a member of the Board of Directors of the
Caisse de dépôt et placement du Québec.
The Corporation also appointed Mr. Di
Tomaso as Chair of the Audit Committee, effective
May 1st, 2015. Mr.
Di Tomaso is a Corporate Director. He is a member of the
Boards of Directors of Les Ressources Yorbeau Inc., Intertape
Polymer Group Inc. and Groupe Birks Inc. He is also a member of the
Ordre des comptables professionnels agréés du Québec since
1972 and member of the Institute of Corporate Directors since 2009.
Between 1981 and 2013, he was successively a partner and advisory
partner at Raymond Chabot Grant Thornton where he also acted as the
Managing Partner Audit.
