Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 23, 2021, Jay B. Lewis provided notice to ImageWare Systems, Inc. (the “Company”) of his intention to resign as the Chief Financial Officer of Company, to be effective April 7, 2021. Mr. Lewis’s decision to resign was not the result of any dispute or disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
