Item 5.02 Departure of Directors or Certain Officers; Election of

On July
13, 2018, Dr. Robert A. Paxton, President of Strategic Initiatives
and External Relations of National American University Holdings,
Inc. (the “Company”), and a named executive officer of
the Company in the Company’s 2017 proxy statement, announced
his planned retirement from the Company, effective July 31,
2018.
