Entry Into A Material Definitive
Agreement

Effective May 2, 2012 we entered into a letter agreement with
the Investor Relations Group Inc. to provide investor relations to our company.
Under the terms of the investor relations agreement, IRG will be paid a monthly
retainer of US $7,000 plus out of pocket expenses.
The investor relations agreement will terminate on October 2,
2012 unless renewed by the agreement of either party.
A copy of the investor relations agreement is attached as
exhibit 10.1 to this current report on Form 8-K.
