Compco Holdings Plc (the "Company")


Directors' Interests


The Company has been informed that R. A. Nadler, a director of the Company, has
gifted 25,000 ordinary shares in the Company (the "Shares") to the Nadler
Charitable Trust, a sub fund of Charities Aid Foundation.


The Shares remain registered in the name of R. A. Nadler but the proceeds
receivable by R. A. Nadler pursuant to the acceptance of the offer in respect of
the Shares (subject to the offer on behalf of City & General Securities Limited
becoming or being declared unconditional in all respects) will be passed to the
Trust department of the Charities Aid Foundation for the benefit of the Nadler
Charitable Trust.


Following this transaction, R. A. Nadler is beneficially interested in 2,307,723
Shares representing approximately 6.2 per cent. of the Company's issued share
capital.
