Compco Holdings plc ("the Company")

The Company has received notification that City & General Group Limited, Uberior
Ventures Limited and City & General Securities Limited, together with Terence
Cole and Mark Steinberg, directors of City & General Group Limited and City &
General Securities Limited, are interested in 36,854,184 ordinary shares in the
Company, representing approximately 98.6 per cent of the Company's issued share
capital. Mark Steinberg is also a director of the Company. These interests have
been disclosed as a result of the recommended cash offer on behalf of City &
General Securities Limited for the Company having become wholly unconditional.
The Company has also received notification that the interests of City & General
Group Limited, Uberior Ventures Limited and City & General Securities Limited
arise under an agreement to acquire interests in the Company entered into
between them dated 11 June 2003.
