                         Issue of Shares to Consultant

The Company has today allotted 17,857 new ordinary shares of 5p each ("new
ordinary shares") to Stanley Davis in satisfaction of his consultancy fees to
BNB's Norman Broadbent business.


Application has been made for the 17,857 new ordinary shares to be admitted to
trading on AIM and dealings are expected to commence on 7 August 2003.
