          CML Microsystems Plc ("the Company")
          Substantial Shareholder Notification

The  Company was notified on 24 March 2000 by PPM that due
to  an  increase  in the Company's issued  ordinary  share
capital Prudential plc's holding of 1,547,000 ordinary  5p
shares  of  the Company ("Ordinary Shares") now represents
10.80  per  cent. of the Company's issued  ordinary  share
capital. This change is not a result of an acquisition  or
disposal of Ordinary Shares by Prudential plc.

The Ordinary Shares are registered in the name of PRU CLNT
(MSS) NOM LTD PAC A/C.
