LETTER TO:   COMPANY ANNOUNCEMENTS

RE: HOLDING IN PROVALIS PLC ("THE COMPANY") 

On 28th September 2000, Provalis plc ("the Company") announced the Placing and
Open Offer of 39,055,863 ordinary shares of 1p each. The special resolution
authorising the directors of the Company to allot these shares was passed at an
EGM on 23rd October 2000 and these shares were admitted to listing with the UK
Listing Authority, and to trading on the London Stock Exchange, today.

As a consequence of this issue of shares, the number of shares in the Company in
issue has increased from 195,304,318 ordinary shares to 234,360,181 ordinary
shares.

We have received notification today from Yggdrasil AB that as they did not
participate in the Placing and Open Offer, their shareholding in the Company
remains at 37,731,381 shares, which now represents 16.10% of the Company's
issued share capital.
