2008, as amended, with registered number 58123 and registered as a
Registered Closed-ended Collective Investment Scheme with the
Guernsey Financial Services Commission)
Voting Rights and
Capital
In accordance with the FCA's
Disclosure and Transparency Rules (DTR 5.6.1), the Company notified
that the Company's share capital consists of 33,131,786
Realisation Shares following the redemption of
7,954,234 Realisation Shares effected on 28
February 2025, as well as 406,565,477
2021 Shares (including 27,835,626 2021 Shares in Treasury,
where the Company may not exercise any voting rights which may be
attached to those shares). Accordingly, the aggregate shares in
issue is 439,697,263 Shares.
Under the Articles, at any general
meeting of the Company each Share (Realisation Shares and 2021
Shares) shall have one vote. Accordingly, the figure which may be
used by Shareholders as the denominator for the calculations by
which they will determine if they are required to notify their
interest in, or a change to their interest in the Company under the
FCA's Disclosure and Transparent Rules is the aggregate of Shares,
namely 411,861,637.
Similarly, to calculate the
numerator, Shareholders should aggregate their holdings of
Realisation Shares and 2021 Shares to calculate the relevant number
of voting rights for the numerator.
With effect from today, the
Realisation Shares will trade under the new ISIN number
GG00BS08TM44.
It is expected that the proceeds of
the redemption will be paid to Realisation Shareholders on 14 March
2025.

registered closed-ended investment company incorporated in
Guernsey. The Company was admitted to trading on the Specialist
Fund Market of the London Stock Exchange (now the Specialist Fund
Segment of the Main Market of the London Stock Exchange) on 12 June
2014.
The investment policy of the Company
is to invest (either directly and/or indirectly through
FOIF II LP and FOMC III LP) in US and European CLOs or other vehicles and structures which
provide exposure to portfolios consisting primarily of US and
European floating-rate senior secured loans and which may include
non-recourse financing.
