          Response to Recommended Cash Offer for Bernard Matthews PLC


Sara Lee Corporation ("Sara Lee") notes the announcement today by Bernard
Matthews Holdings Limited of its offer to acquire shares in Bernard Matthews
PLC at a price of 185 pence per share, the terms of the offer and the terms of
the irrevocable undertakings and letters of intent which have been secured
from certain shareholders.  Sara Lee is considering whether or not to make an
offer for Bernard Matthews PLC.
