Holding in Co-Replacement

The issuer advises that the following replaces the Holding(s) in Company
announcement released on 22/4/02, at 18:05, under RNS number 9076U.

The purchase should have read "600,000 on Friday 19 April, and 850,000 on Monday
22 April" as separate purchases, and not "1,450,000 on Monday 22 April" as
previously stated.

RMR plc ("the Company")


The Company was notified yesterday that the date of the acquisition of shares by
Swan Corporation Limited contained in the announcement dated 22 April 2002 was
incorrect.


As previously disclosed, Swan Corporation Limited purchased 1,450,000 ordinary
shares in RMR plc. However, this was made up of a purchase of 600,000 shares on
Friday 19th April and 850,000 on Monday 22nd April. As previously reported, Swan
Corporation Limited now holds a total of 11,631,451 ordinary shares in the
Company representing 19.04 per cent of the total issued share capital of RMR
plc.
