Notification of change in Directors interest in shares

On 30th April 2001 Mr Rob Burnham and Mr Colin Gibson waived and released
their rights to exercise options granted to them on 1st April 1999 under the
Skillsgroup plc unapproved discretionary share option scheme 1999 ("the
Scheme") to the extent of the following numbers of Skillsgroup ordinary shares
of 10p each comprised therein:

Rob Burnham                                          67,873
Colin Gibson                                         68,144

The above numbers of Skillsgroup ordinary shares represent the extent to which
the options were inadvertently granted over Skillsgroup ordinary shares in
excess of the limits on participation applicable to Mr Burnham and Mr Gibson
on 1st April 1999 in accordance with the rules of the Scheme.


The options granted to them on 1st April 1999 under the Scheme remain
outstanding in respect of 72,777 Skillsgroup ordinary shares in the case of Mr
Burnham and 72,496 Skillsgroup ordinary shares in the case of Mr Gibson, being
the respective maximum numbers over which they were entitled to be granted
options under the Scheme on that day. The outstanding options are normally
exercisable, subject to the satisfaction of performance conditions, between
1st April 2002 and 31st March 2009 at an option price of 320.5p per share.


Following these waivers, the total interests of Mr Burnham and Mr Gibson in
options over the 10 pence ordinary shares of Skillsgroup plc were 370,003 and
225,013 respectively.
