SECTION 198 COMPANIES ACT 1985

Skillsgroup plc received the following notification on 27th August 1998:

"We, National Westminster Bank Plc, for ourselves and on behalf of:

     NatWest Asset Management Holdings Ltd
     Asset Management Holdings Plc
and  Gartmore Investment Management Plc

write to advise you pursuant to Section 198 of the Companies Act 1985 (the
Act) that:

1.   This notification relates to the ordinary 10p share capital of
Skillsgroup plc.

2.   We, NatWest Asset Management Holdings Ltd, Asset Management Holdings plc
and Gartmore Investment Management Plc no longer have a notifiable interest
(within the meaning of Section 199(2) of the Act) in shares comprised in the
share capital.

3.    We continue to have an interest in 7,720,094 shares.  Of this figure
NatWest Asset management Holdings Ltd, Asset Management Holdings Plc and
Gartmore Investment Management Plc continue to have an interest in 7,695,844
shares."
