                                 Sale of Shares

The Directors of Virotec International plc ("Virotec") (AIM:VTI) are pleased to
announce that it has secured ongoing funding for the Group's operations.

Virotec has sold 5.5 million shares in Hydrodec Group plc ("Hydrodec") at a
price of #0.20 per share returning #1.1 million before costs. Virotec has agreed
to enter into a lock-in agreement with Hydrodec not to reduce its interest
further in Hydrodec for a period of 12 months.  Virotec retains 54.5 million
shares in Hydrodec representing an interest of approximately 28.1%, which has a
current market value of approximately #10.9 million.

Executive Chairman, Brian Sheeran, comments "This share sale provides Virotec
with sufficient capital to implement its current operational strategy."
