               The Westbury Property Fund Limited ("the Company")


Further to the announcement on 17 December 2004, the Company announces that:
     
(i)  it has today in accordance with the Articles given notice to the remaining 
     Capital Shareholders to compulsorily convert their Capital Shares into 
     Ordinary Shares at 6 pm on 7 January 2005.  It is anticipated that 
     1,240,073 Ordinary Shares will be created in respect of the compulsory 
     converted Capital Shares; and

(ii) dealings in the Ordinary Shares to be created pursuant to the compulsory 
     conversion of the Capital Shareholders are expected to commence on 10 
     January 2005.
