Corinthian Colleges Holds 2003 Annual Meeting SANTA ANA, Calif., Nov. 20 /PRNewswire-FirstCall/ -- At today's Annual Meeting of Stockholders of Corinthian Colleges, Inc. , the company re-elected two members to its Board of Directors, approved an amendment and restatement of Corinthian's Certificate of Incorporation and the company's 2003 Performance Award Plan, and ratified the appointment of independent auditors. At the meeting, Corinthian's stockholders re-elected Paul R. St. Pierre and Linda Arey Skladany for three-year terms expiring at the Annual Meeting of Stockholders in 2006. Stockholders approved an amendment and restatement of Corinthian's Certificate of Incorporation, increasing the number of authorized shares of common stock, par value $0.0001 per share, to a total of 120 million authorized shares. Stockholders also approved Corinthian's 2003 Performance Award Plan, authorizing issuance by the company of up to 2.7 million shares of Corinthian's common stock, pursuant to the Plan. Approval of the 2003 Performance Award Plan terminated Corinthian's ability to grant new awards under its 1998 Performance Award Plan. In addition, Ernst & Young LLP was ratified as Corinthian's independent auditors for the fiscal year ending June 30, 2004. Paul R. St. Pierre is one of the founders of Corinthian and has been a member of the Board of Directors since the company's inception in July 1995. He was elected vice chairman of the Board of Directors in January 2003. Prior to his retirement as an executive officer of the company on June 30, 2003, he served as Corinthian's executive vice president, marketing and admissions. Linda Arey Skladany, Esq., became a member of the Board of Directors effective upon the completion of Corinthian's initial public offering in February 1999. She is a member of the Audit and Compensation Committees of the Board. Ms. Skladany retired in April 2003 from her position as senior associate commissioner, Office of External Relations, the U.S. Food and Drug Administration, a position she had held since June 2002.
