PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The Annual Report on Form 10-K for the year ended December 31, 2016 (the “Form 10-K”) of Rentech, Inc. (the “Company”) cannot be filed within the prescribed time period without unreasonable effort or expense because the Company is completing its review of the accounting for: (i) impairments of fixed assets related to its Wawa and Atikokan wood pellet manufacturing facilities, (ii) impairments related to its Fulghum Fibres US operations and (iii) its provision for income tax expense.

The Company expects to file its Form 10-K as soon as practicable upon completing its review of the items described above.   Based on the results of its review thus far, the Company currently expects to file its Form 10-K on or before the fifteenth calendar day following the required filing date as prescribed in Rule 12b-25.

As described in Part III of this Form 12b-25, the Company has not yet completed its review of the accounting for impairments and income tax expense. The Company hereby incorporates by reference the Company’s earnings release filed as Exhibit 99.1 to its Form 8-K dated March 16, 2017, including the preliminary, selected, unaudited financial results and liquidity disclosures set forth therein. The selected unaudited results set forth in the earnings release do not reflect any asset impairment charges or any provision for income taxes.
