Explanation of Responses:

(1)

On March 21, 2023, the reporting person filed a Form 4 reporting a disposition of 33,268 shares, representing shares withheld by the Issuer to pay taxes due upon vesting of restricted stock. Such withholding occurred due to an administrative error and, on April 19, 2023, as approved by the Compensation Committee of the Board of Directors of the Issuer, the Issuer and the reporting person agreed to rescind such withholding, with the Issuer returning the number of withheld shares to the reporting person and the reporting person delivering to the Issuer cash in an amount equal to sales proceeds attributed to such shares in order to pay such taxes due in full. Accordingly, this amendment is being filed to correct the number of shares directly held by the reporting person.
