Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On June 26, 2023, Jonathan Mildenhall notified the Board of Directors (the “Board”) of Northern Star Investment Corp. IV (the “Company”) that effective September 1, 2023, he was resigning from his position as a member of the Board. Mr. Mildenhall’s resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
