Upon a Change of Control Repurchase Event (as defined in the Preliminary Prospectus), the Company will be required to make an offer to repurchase all outstanding Notes at a price in cash equal to 101% of the principal amount of the

indebtedness, which may include the repurchase or repayment of a portion of the Guarantors 5.50% exchangeable senior notes due 2026 or secured financing; and for other general business
